These Terms and Conditions govern your access to and use of the Sunbucks website, platform, dashboard, services, and any purchase of serialized solar cells made available through Sunbucks.

Please read these Terms carefully before using the Platform or purchasing any Sunbucks solar cells. By creating an account, using the Platform, purchasing a solar cell, entering into a lease-back arrangement, or receiving any equipment-rental fee, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Platform or purchase Sunbucks solar cells.

1. Important Summary

Sunbucks operates a solar cell ownership and lease-back model.

Under this model:

  1. Sunbucks makes individually identified solar cells available for purchase.
  2. Each solar cell is assigned a unique identification number or asset ID.
  3. When you purchase a solar cell, legal title to that specific cell transfers to you, subject to these Terms and the relevant project information.
  4. You may enter into a fixed-term lease-back and management arrangement under which Sunbucks uses, manages, stores, maintains, insures, and operates your cell as part of a solar installation at a host school or other approved host site.
  5. While your cell is leased to Sunbucks, Sunbucks pays you a contractual equipment-rental fee for the use of that specific cell.
  6. Each site has a fixed lease period, including a site start date and site end date.
  7. If you purchase a cell after the site start date, your first rental payment may include any accrued rental fees from the site start date, as displayed on the Platform at the time of purchase.
  8. All rental fees end on the site end date, regardless of when you purchased the cell.
  9. Equipment-Rental Fees may begin accumulating after purchase or from the applicable site rental start basis shown in the Project Information, but they remain pending and cannot be withdrawn during the initial 100-day withdrawal hold described in these Terms.
  10. At the end of the fixed lease term, ownership of the cell transfers to the host school where the cell is installed, or to another host or charitable/community recipient specified in the relevant project information.
  11. After the end-of-term transfer, you have no further ownership rights, rental rights, payment rights, or claims in respect of that cell.

Sunbucks does not sell shares, securities, tokens, crowdfunding interests, profit-participation rights, pooled income rights, bonds, notes, investment products, or rights to company profits. Any payments made to you under the lease-back arrangement are contractual equipment-rental fees for the use of your identified solar cell.

This summary is provided for convenience only. The full Terms below govern your rights and obligations.

2. Definitions

In these Terms, the following expressions have the meanings set out below.

Account means your registered user account on the Platform.

Accrued Rental Fee means any equipment-rental fee shown on the Platform as having accrued in respect of a Cell from the relevant Site Start Date to the date of purchase, where the Cell is purchased after the Site Start Date.

Cell or Solar Cell means an individually identified solar cell, solar-cell unit, or other solar generation component made available for purchase through the Platform and identified by a serial number, asset ID, batch ID, digital identifier, or other allocation method used by Sunbucks.

Cell ID means the unique identifier assigned by Sunbucks to a Cell.

Customeryou, or your means a person or entity using the Platform or purchasing a Cell.

Dashboard means the online interface through which Customers may view purchases, Cell IDs, site information, estimated or actual equipment-rental fee records, environmental impact information, and other account data.

End-of-Term Transfer means the pre-agreed transfer, donation, assignment, or surrender of ownership of a Cell to the Host School or other approved recipient at the end of the relevant lease term.

Equipment-Rental Fee means the contractual rental amount payable by Sunbucks to a Customer for Sunbucks’ use of the Customer’s identified Cell during the applicable lease-back period.

Host School means the school, educational institution, or approved host site at which the relevant solar installation is located or for whose benefit the solar installation is operated.

Lease-Back Agreement means the fixed-term agreement under which you allow Sunbucks to use, manage, operate, store, insure, maintain, and commercially deploy your Cell as part of a solar installation.

Platform means www.sunbucks.com, the Sunbucks dashboard, and any related websites, applications, software, tools, services, and communications operated by Sunbucks.

Project Information means the project-specific information shown on the Platform before purchase, including location, host type, Site Start Date, Site End Date, lease term, Cell price, expected equipment-rental fee schedule, End-of-Term Transfer details, operational assumptions, and relevant risks.

Site End Date means the fixed date on which the relevant lease-back period ends for all Cells assigned to that site.

Site Start Date means the fixed date from which the lease-back period begins for the relevant site.

Sunbucksweus, or our means Sunbucks Limited.

Pending Equipment-Rental Fee means any Equipment-Rental Fee that has accrued or is displayed on the Dashboard but is not yet available for withdrawal, including because it is within the initial 100-day withdrawal hold.

Withdrawal Hold means the initial 100-day period after purchase confirmation during which Equipment-Rental Fees may accumulate but cannot be withdrawn.

Wallet means any account balance or payment-tracking feature on the Platform used to display rental fees, payment status, withdrawals, refunds, or credits. The Wallet is an accounting and payment-tracking tool only and is not a bank account, e-money account, investment account, deposit account, or regulated payment account.

3. About Sunbucks

Sunbucks is an Irish-registered company that develops, arranges, supports, manages, or administers solar equipment projects and makes serialized solar cells available for purchase and optional lease-back.

Sunbucks may work with schools, educational institutions, property owners, solar developers, installers, maintenance contractors, insurers, payment processors, and other service providers to deliver the Platform and the Sunbucks model.

Sunbucks may itself own, procure, acquire, manage, lease, administer, or facilitate solar equipment. The exact role of Sunbucks in respect of each site may be explained in the relevant Project Information.

4. Eligibility

To use the Platform, create an Account, purchase a Cell, or enter into a Lease-Back Agreement, you must:

  1. be at least 18 years old or the age of majority in your jurisdiction;
  2. have legal capacity to enter into a binding contract;
  3. provide accurate and complete account information;
  4. use the Platform only for lawful purposes;
  5. not be located in a jurisdiction where Sunbucks has restricted or prohibited access;
  6. not be subject to sanctions or other restrictions that would make your use of the Platform unlawful;
  7. comply with all laws applicable to you; and
  8. accept these Terms and any project-specific terms shown before purchase.

Sunbucks may refuse, suspend, or restrict access to the Platform where we reasonably believe that a Customer does not meet these eligibility requirements, has provided false information, may be using the Platform unlawfully, or may expose Sunbucks to legal, regulatory, tax, operational, financial, reputational, or security risk.

5. Nature of the Sunbucks Model

Sunbucks is designed as a physical solar cell purchase and lease-back programme.

When you purchase a Cell, you are purchasing an identified physical asset. You are not purchasing a share in Sunbucks, a share in a project company, a financial instrument, an investment product, a security, a token, a crowdfunding interest, a loan, a bond, a note, a deposit, an e-money balance, a derivative, a unit in a collective investment scheme, or a right to participate in company profits.

The Equipment-Rental Fee is paid under the Lease-Back Agreement for Sunbucks’ use of the identified Cell during the lease period. It is not a dividend, interest payment, profit share, yield, investment return, revenue share, or guaranteed financial return.

You acknowledge and agree that:

  1. no ownership in Sunbucks is created by purchasing a Cell;
  2. no voting rights in Sunbucks are created by purchasing a Cell;
  3. no right to Sunbucks’ profits is created by purchasing a Cell;
  4. no right to pooled project income is created by purchasing a Cell;
  5. no right to sell or trade your Cell on a market is created by purchasing a Cell;
  6. no right to payment after the Site End Date is created by purchasing a Cell;
  7. no right to payment after End-of-Term Transfer is created by purchasing a Cell; and
  8. no regulated financial advice is provided by Sunbucks.

6. Project Information, Site Selection, and Incorporated Site Terms

The Platform may display available school sites, host sites, or installations where Cells are available for purchase.

Each available site will have project-specific terms and information that form part of these Terms once you purchase a Cell for that site. These project-specific terms are not optional or separate from these Terms; they are incorporated into and form part of your agreement with Sunbucks.

Project Information may include:

  1. the name or description of the Host School or host organisation;
  2. the country or region of the site;
  3. the expected or actual installation status;
  4. the Site Start Date;
  5. the Site End Date;
  6. the fixed lease term;
  7. the Cell price;
  8. the minimum and maximum number of Cells available for purchase;
  9. the number of Cells you purchase;
  10. the total purchase price;
  11. the Cell ID, serial number, asset ID, batch ID, or allocation method;
  12. the lease-back status of the Cell;
  13. the Equipment-Rental Fee basis;
  14. the payment frequency;
  15. the first expected payment date;
  16. the final expected payment date;
  17. whether any Accrued Rental Fee is included in the first payment;
  18. maintenance, monitoring, insurance, and operating arrangements;
  19. delivery, withdrawal, or physical claim rules;
  20. the End-of-Term Transfer recipient;
  21. operational assumptions;
  22. special site risks; and
  23. any other site-specific terms shown before purchase.

You must review the Project Information before purchasing any Cell. By completing a purchase, you confirm that you have reviewed, understood, and accepted the Project Information for the relevant site and that the Project Information forms part of your contract with Sunbucks.

If there is a conflict between general wording in these Terms and specific Project Information shown to you before purchase, the Project Information will apply to that site to the extent of the conflict, unless this would unlawfully reduce your mandatory consumer rights.

Sunbucks may correct obvious errors, update project information, or withdraw a site from availability before purchase. Where a material error is discovered after purchase, Sunbucks may take reasonable steps to correct the error, notify affected Customers, or offer an appropriate remedy where required by law.

7. Purchase of Solar Cells

Subject to availability, you may purchase one or more Cells through the Platform.

The minimum purchase amount, Cell price, payment method, applicable taxes, fees, and any purchase limits will be displayed before checkout.

A purchase is complete only when:

  1. you have accepted these Terms;
  2. you have accepted the relevant Project Information;
  3. payment has been successfully processed;
  4. Sunbucks has confirmed the purchase; and
  5. a Cell ID or allocation record has been assigned to your Account.

Sunbucks may reject, cancel, or refund a purchase where:

  1. payment fails or is reversed;
  2. the Cell is unavailable;
  3. the purchase appears fraudulent, abusive, unlawful, or erroneous;
  4. the Customer fails eligibility, identity, sanctions, or compliance checks;
  5. the purchase would breach applicable law;
  6. the Platform displayed a manifest error; or
  7. Sunbucks is required or reasonably advised to do so for legal, regulatory, tax, consumer-protection, anti-fraud, anti-money-laundering, sanctions, payment-processing, or operational reasons.

8. Cell Identification and Practical Nature of the Asset

Each Cell purchased through the Platform will be identified using a Cell ID, serial number, batch number, asset number, or other identification method used by Sunbucks.

You acknowledge that solar cells are usually installed, connected, encapsulated, mounted, or operated as part of a larger solar installation. A Cell may not be independently visible, removable, measurable, or operational without affecting surrounding equipment or the relevant installation.

The Cell ID is intended to identify your asset allocation within the Sunbucks system. The physical installation, management, maintenance, and operation of the Cell may require aggregation with other cells, panels, modules, inverters, racking, wiring, monitoring systems, and site infrastructure.

Sunbucks will use reasonable records to identify, track, and administer each Cell allocation. However, physical removal, inspection, or delivery may be subject to technical, safety, contractual, legal, insurance, access, and operational restrictions.

9. Title and Ownership

Subject to payment and confirmation, legal title to the purchased Cell transfers to you at the time confirmed by Sunbucks in the purchase confirmation or Project Information.

Ownership is subject to:

  1. these Terms;
  2. the Lease-Back Agreement, if entered into;
  3. any site-specific operational restrictions;
  4. the End-of-Term Transfer obligation;
  5. safety, access, grid, installation, and maintenance requirements;
  6. applicable law; and
  7. any rights of the Host School, site owner, installer, insurer, or operator as described in the Project Information.

You are responsible for ensuring that you understand the limited practical use and value of the Cell outside the Sunbucks programme. A Cell may have limited or no standalone practical value if removed from the installation.

10. Lease-Back and Management Arrangement

When purchasing a Cell, you may enter into the Sunbucks lease-back and management arrangement for the relevant site.

Under the Lease-Back Agreement, you authorise Sunbucks to use, store, install, operate, maintain, insure, monitor, manage, commercially deploy, and administer your Cell during the applicable lease term.

Sunbucks may use your Cell as part of a solar installation at a Host School or other approved host site. You will not have day-to-day control over the operation of the Cell while it is leased to Sunbucks.

The Lease-Back Agreement is intended to allow Sunbucks to use the Cell in a working solar installation and to pay you an Equipment-Rental Fee for that use.

You acknowledge that the lease-back arrangement is a commercial equipment-use arrangement and not an investment arrangement.

10A. Seventy-Two-Hour Lease-Back Opt-Out Window

After purchasing a Cell, Sunbucks gives you a 72-hour window to opt out of the automatic lease-back process for that Cell.

At checkout, Sunbucks may require you to actively acknowledge that the Cell will proceed into the lease-back and management process unless you opt out within the 72-hour window. The opt-out process must also be described in the purchase confirmation or otherwise made available to you in a clear and accessible way.

The 72-hour opt-out window begins when Sunbucks sends your purchase confirmation to the email address registered to your Account.

To opt out, you must email Sunbucks within the 72-hour window at:

Your email should include:

  1. the subject line: Lease-Back Opt-Out;
  2. your full name;
  3. the email address linked to your Account;
  4. the relevant transaction ID or order reference;
  5. the relevant Cell ID, if already assigned;
  6. the site or Host School name, if known; and
  7. a clear statement that you wish to opt out of the lease-back process for the relevant Cell.

If Sunbucks receives a valid opt-out notice within the 72-hour window, the Cell will not proceed under the automatic lease-back process unless you later give fresh written consent. Sunbucks may then arrange delivery, collection, cancellation, refund, substitution, or another available option in accordance with these Terms, the Project Information, and applicable law.

If Sunbucks receives a valid opt-out notice within the 72-hour window, no Equipment-Rental Fees will become withdrawable in respect of that Cell unless you later enter into a new lease-back arrangement with Sunbucks. Any Pending Equipment-Rental Fees shown before processing of the opt-out may be reversed, cancelled, or adjusted.

If Sunbucks does not receive a valid opt-out notice within the 72-hour window, you authorise Sunbucks to proceed automatically with the lease-back and management process for the Cell. The Cell will then remain subject to the fixed lease term, Equipment-Rental Fee arrangement, Site End Date, Withdrawal Hold, and End-of-Term Transfer described in these Terms and the relevant Project Information.

The 72-hour lease-back opt-out window is an additional Sunbucks process right. It does not limit, replace, or remove any mandatory cancellation, withdrawal, refund, cooling-off, or consumer rights you may have under Irish, EU, or other applicable consumer law.

11. Fixed Lease Period, Site Start Date, and Site End Date

Each site has a fixed lease period set by Sunbucks and shown in the relevant Project Information.

The lease period begins on the Site Start Date and ends on the Site End Date.

The Site Start Date and Site End Date apply to all Cells assigned to the site, regardless of when a particular Customer purchases a Cell.

If you purchase a Cell after the Site Start Date:

  1. the Cell will still be linked to the original Site Start Date;
  2. the Cell will still end on the same Site End Date as all other Cells at that site;
  3. the remaining lease term will be shorter than if you had purchased on the Site Start Date;
  4. your first Equipment-Rental Fee payment may include Accrued Rental Fees from the Site Start Date to the date of purchase, where this is displayed on the Platform at the time of purchase; and
  5. no Equipment-Rental Fees will accrue after the Site End Date.

Any Accrued Rental Fee is a contractual rental adjustment under the Lease-Back Agreement. It is not interest, a financial return, or a profit share.

12. Equipment-Rental Fees

While your Cell is leased to Sunbucks, Sunbucks will pay you the Equipment-Rental Fee shown or calculated in accordance with the relevant Project Information and Lease-Back Agreement.

The Equipment-Rental Fee may be fixed, scheduled, capped, site-specific, or otherwise calculated according to the relevant project terms shown before purchase.

Unless expressly stated otherwise in the Project Information:

  1. Equipment-Rental Fees accrue only during the applicable lease term;
  2. Equipment-Rental Fees end on the Site End Date;
  3. Equipment-Rental Fees end if the Cell is withdrawn, delivered, transferred, cancelled, refunded, or otherwise removed from the lease-back arrangement;
  4. Equipment-Rental Fees are not payable after End-of-Term Transfer;
  5. Equipment-Rental Fees are not dividends, interest, profits, investment returns, revenue shares, or yields;
  6. Sunbucks may deduct or withhold amounts required by law, tax rules, payment processors, sanctions rules, chargebacks, refunds, or compliance obligations; and
  7. payment timing may depend on payment-processing, banking, compliance, tax, verification, currency, and operational processes.

Sunbucks may display projected, scheduled, estimated, or accrued Equipment-Rental Fees on the Platform. Such information is provided for administration and transparency and does not create any right beyond the contractual rights set out in these Terms, the Project Information, and the Lease-Back Agreement.

12A. Suspension or Cessation of Equipment-Rental Fees and Customer Return Right

If Sunbucks determines, acting reasonably and for a valid reason under these Terms, the Project Information, the Lease-Back Agreement, applicable law, or the requirements of a Host School, installer, insurer, payment provider, bank, regulator, or other relevant third party, that Equipment-Rental Fees for a Cell cannot validly, safely, lawfully, commercially, technically, or operationally continue, Sunbucks may pause, suspend, reduce, or cease future Equipment-Rental Fee accrual or payments in accordance with these Terms.

Where Sunbucks makes such a determination and the Cell remains owned by the Customer and has not already been transferred, refunded, cancelled, substituted, surrendered, or subject to End-of-Term Transfer, the Customer may request that the Cell be returned or delivered to the Customer, at the Customer's own shipping, handling, insurance, customs, duties, taxes, removal, and delivery cost.

A return or delivery request under this Section is subject to Section 15, technical feasibility, electrical and site safety, Host School access, installer availability, legal and regulatory requirements, insurance requirements, and any applicable site restrictions. Sunbucks may refuse, delay, or offer an equivalent replacement Cell, refund, substitution, surrender option, or other legally required remedy where physical return is unsafe, unlawful, technically impractical, disproportionately disruptive, prohibited by site agreements, or likely to damage the installation, school property, other customers' assets, or electrical infrastructure.

If the Customer requests return or delivery under this Section, the Lease-Back Agreement for that Cell will end from the date Sunbucks receives the valid return request or such later date as Sunbucks confirms is required for safe and lawful removal. Equipment-Rental Fees will stop accruing from that date. All accrued and undisputed Equipment-Rental Fees up to that date remain due to the Customer, subject to the 100-day Withdrawal Hold, lawful deductions, tax, compliance checks, payment-processing rules, chargebacks, disputes, corrections, and the other payment restrictions set out in these Terms.

This Section does not limit Sunbucks' existing rights to pause, delay, suspend, reject, reverse, withhold, correct, adjust, cancel, refund, relocate, substitute, or terminate payments or arrangements under these Terms, and it does not limit any mandatory consumer rights.

13. Payments, Withdrawals, Wallet, and 100-Day Withdrawal Hold

The Platform may include a Wallet or balance feature showing Equipment-Rental Fees, payment history, pending payments, withdrawals, refunds, or account credits.

The Wallet is not a bank account, e-money account, deposit account, investment account, payment account, or regulated financial account. It is an administrative ledger used to display amounts that may be payable to you under the Lease-Back Agreement.

Equipment-Rental Fees may begin accumulating immediately after purchase confirmation, or from the applicable rental start basis shown in the Project Information. However, all Equipment-Rental Fees remain pending and unavailable for withdrawal during the initial 100-day Withdrawal Hold.

The 100-day Withdrawal Hold begins when Sunbucks sends your purchase confirmation to the email address registered to your Account.

During the Withdrawal Hold:

  1. Equipment-Rental Fees may be displayed in your Dashboard or Wallet as pending;
  2. pending amounts are not available for withdrawal;
  3. pending amounts may be corrected, adjusted, reversed, cancelled, or withheld if the purchase is cancelled, refunded, disputed, charged back, found to be erroneous, affected by an opt-out, affected by compliance checks, or otherwise adjusted under these Terms;
  4. no interest or additional compensation is payable because of the Withdrawal Hold; and
  5. the Withdrawal Hold does not change the fixed Site End Date or extend the lease term.

After the 100-day Withdrawal Hold has expired, Equipment-Rental Fees that are marked as available may be withdrawn in accordance with the withdrawal rules shown on the Platform, subject to these Terms, payment-processing requirements, tax checks, compliance checks, and applicable law.

The Withdrawal Hold is an operational payment-control period. It does not limit, replace, or remove any mandatory cancellation, withdrawal, refund, cooling-off, or consumer rights you may have under Irish, EU, or other applicable consumer law.

Sunbucks may require identity verification, tax information, banking details, payment-processor checks, sanctions screening, fraud checks, or other compliance steps before processing a withdrawal.

Sunbucks may delay, suspend, reject, reverse, or withhold a payment where:

  1. required by law;
  2. required by a payment processor or bank;
  3. required for tax, sanctions, anti-fraud, anti-money-laundering, consumer-protection, or regulatory reasons;
  4. the payment details are incorrect or incomplete;
  5. the Account is suspended;
  6. a chargeback, refund, dispute, error, or suspected fraud has occurred;
  7. Sunbucks reasonably believes the payment may breach these Terms; or
  8. there is a technical, operational, banking, currency, or compliance issue.

Sunbucks is not responsible for delays caused by banks, payment processors, incorrect payment information, compliance checks, force majeure events, or circumstances outside our reasonable control.

14. End-of-Term Transfer to Host School

At the end of the fixed lease term, ownership of the Cell will transfer to the Host School or other approved end recipient identified in the Project Information.

This End-of-Term Transfer is an essential part of the Sunbucks model. It reflects the fact that, by the end of the lease term, the Cell’s expected commercial rental period, warranty period, performance guarantee period, or useful commercial value under the Sunbucks programme may have expired or materially reduced.

By purchasing a Cell and entering into the Lease-Back Agreement, you agree in advance to the End-of-Term Transfer.

After the End-of-Term Transfer:

  1. you will no longer own the Cell;
  2. you will have no right to remove the Cell;
  3. you will have no right to receive Equipment-Rental Fees;
  4. you will have no right to receive proceeds, profits, revenue, savings, benefits, or compensation from the Cell;
  5. you will have no right to reverse the transfer; and
  6. the Host School or relevant recipient will hold the Cell subject to its own arrangements with Sunbucks or other relevant parties.

Sunbucks may document or facilitate the End-of-Term Transfer on your behalf, and you authorise Sunbucks to take reasonable administrative steps required to complete the transfer.

15. Delivery, Withdrawal, and Physical Claim of a Cell

Where expressly permitted by the relevant Project Information and Lease-Back Agreement, you may request physical delivery of your Cell before the Site End Date.

A delivery or withdrawal request may be subject to:

  1. technical feasibility;
  2. site access;
  3. safety rules;
  4. grid and electrical requirements;
  5. installer availability;
  6. Host School approval;
  7. insurance requirements;
  8. maintenance windows;
  9. removal costs;
  10. shipping costs;
  11. customs, duties, and import/export restrictions;
  12. minimum notice periods;
  13. administrative fees;
  14. loss of future Equipment-Rental Fees; and
  15. the effect of removal on the relevant solar installation.

If you request delivery or withdrawal of your Cell, the Lease-Back Agreement will end in respect of that Cell from the effective withdrawal date, and no further Equipment-Rental Fees will accrue.

Sunbucks may refuse, delay, or propose an alternative remedy for delivery where removal is unsafe, unlawful, technically impractical, disproportionately disruptive, prohibited by site agreements, or likely to damage the installation, school property, other customers’ assets, or electrical infrastructure.

If an individual Cell cannot reasonably be removed, Sunbucks may, where legally permissible and commercially reasonable, offer an equivalent replacement Cell, a similar solar component, a refund, a surrender option, or another remedy described in the Project Information or required by applicable law.

16. No Profit Share, No Securities, No Financial Advice

Sunbucks does not provide financial, investment, tax, pension, legal, accounting, or regulated advice.

Nothing on the Platform is intended to be, and must not be treated as:

  1. financial advice;
  2. investment advice;
  3. tax advice;
  4. a recommendation to invest;
  5. an invitation to buy securities;
  6. a prospectus;
  7. a crowdfunding offer;
  8. a collective investment scheme;
  9. a deposit-taking arrangement;
  10. a crypto-asset or token issuance;
  11. a promise of profit; or
  12. a guarantee of income.

You should not purchase a Cell unless you understand the legal, tax, operational, and commercial features of the Sunbucks model and are satisfied that it is suitable for you.

Sunbucks may seek legal, regulatory, tax, or compliance advice and may alter, suspend, restrict, or withdraw the Platform or particular features where we reasonably consider this necessary to comply with applicable law or reduce legal or regulatory risk.

17. Customer Acknowledgements

By purchasing a Cell, you acknowledge and agree that:

  1. you are buying a specific identified Cell, not a financial product;
  2. any Equipment-Rental Fee is paid for use of that Cell under a lease-back arrangement;
  3. the Cell may be physically installed or integrated into a larger solar installation;
  4. the Cell may not be independently removable without operational restrictions;
  5. the lease period is fixed and ends on the Site End Date;
  6. the Site End Date applies even if you purchase after the Site Start Date;
  7. any Accrued Rental Fee will be as shown before purchase;
  8. no Equipment-Rental Fees are payable after the Site End Date;
  9. ownership transfers to the Host School or approved recipient at the end of the lease term;
  10. the Cell may degrade over time;
  11. warranties, guarantees, and expected performance may expire or reduce by the end of the lease term;
  12. environmental impact figures are estimates unless expressly verified;
  13. dashboard figures may be delayed, estimated, corrected, or updated;
  14. Sunbucks may rely on third-party installers, operators, insurers, schools, banks, and payment processors;
  15. payments may be delayed or reduced due to lawful deductions, withholding, compliance checks, banking issues, tax requirements, or force majeure; and
  16. you have not relied on any statement not included in these Terms, the Project Information, or written confirmation from Sunbucks.

18. Performance, Degradation, Warranties, and Guarantees

Solar cells and solar installations may degrade over time. Output may be affected by weather, shading, dust, grid availability, maintenance, inverter performance, curtailment, damage, technical faults, host-site access, regulatory issues, and other factors.

Any manufacturer warranty, installer warranty, performance guarantee, insurance cover, or maintenance arrangement will be described in the Project Information where relevant.

Unless expressly stated in the Project Information, Sunbucks does not guarantee:

  1. any specific electricity output;
  2. any specific performance level;
  3. uninterrupted operation;
  4. uninterrupted access to a host site;
  5. uninterrupted payment processing;
  6. any particular environmental impact;
  7. any resale value;
  8. any value after the Site End Date; or
  9. any payment after the lease term.

Where warranties or guarantees expire before or at the Site End Date, you acknowledge that the Cell may have reduced value or no meaningful commercial rental value after that date.

19. Insurance, Maintenance, and Operational Control

During the lease term, Sunbucks or its contractors will arrange such maintenance, monitoring, insurance, security, and operational controls as Sunbucks considers appropriate for the relevant site.

Insurance may be subject to exclusions, deductibles, claim limits, waiting periods, local legal requirements, policy terms, and insurer decisions.

Sunbucks does not guarantee that insurance will cover every loss, delay, defect, outage, missed rental fee, natural disaster, theft, fire, force majeure event, political event, regulatory change, or third-party failure.

Sunbucks may replace, repair, relocate, pool, substitute, modify, maintain, disconnect, or remove equipment where reasonably necessary for safety, maintenance, insurance, regulatory, operational, or technical reasons. Where such action materially affects your Cell or rental entitlement, Sunbucks will act reasonably and in accordance with applicable law and the Project Information.

20. Host Schools and Third-Party Sites

Host Schools and other site hosts are independent organisations unless expressly stated otherwise.

Sunbucks may enter into agreements with Host Schools, property owners, operators, installers, or other third parties to install, host, operate, or manage solar equipment.

You acknowledge that:

  1. Host Schools may not be parties to your purchase contract;
  2. Host Schools may have their own rights and obligations;
  3. site access may be restricted;
  4. you have no right to enter the Host School or inspect equipment without prior written approval;
  5. Sunbucks may need to comply with safeguarding, school-security, child-protection, health-and-safety, and local access rules; and
  6. end-of-term transfer to the Host School may require reasonable administrative steps.

Sunbucks may change the host site or transfer a Cell allocation to an equivalent site where necessary due to safety, technical, legal, operational, insurance, school, landowner, grid, regulatory, force majeure, or commercial reasons. Where this materially affects your rights, Sunbucks will notify you and provide any remedy required by law or stated in the Project Information.

21. Environmental Impact Information

The Platform may display estimated clean-energy production, carbon dioxide reduction, school energy savings, or other environmental-impact data.

Such information may be based on estimates, assumptions, third-party data, conversion factors, modelled outputs, metering information, or delayed reporting.

Environmental-impact data is provided for information only and does not create any right to payment, compensation, certification, carbon credit, offset, renewable energy certificate, guarantee of emissions reduction, or regulatory compliance benefit unless expressly stated in separate written terms.

Sunbucks may update, correct, revise, or remove environmental-impact figures where new data becomes available or errors are identified.

22. Consumer Rights, Cooling-Off Rights, and Lease-Back Opt-Out

If you are a consumer, you may have rights under Irish and EU consumer law. Nothing in these Terms limits or excludes rights that cannot lawfully be limited or excluded.

Before purchase, Sunbucks will aim to provide clear information about the Cell, price, lease term, Site Start Date, Site End Date, Equipment-Rental Fee, 100-day Withdrawal Hold, End-of-Term Transfer, key risks, delivery or withdrawal rules, and the 72-hour lease-back opt-out process.

Your right to cancel, withdraw, or receive a refund may depend on the nature of the Cell, whether the Cell has been assigned, whether lease-back services have begun, whether any Equipment-Rental Fee has accrued or been paid, whether the Cell has been installed or operated, and applicable consumer-law exceptions.

Where you request or allow immediate commencement of lease-back services, you may be required to acknowledge that the service begins before the end of any statutory cancellation period and that cancellation rights may be affected to the extent permitted by law.

The 72-hour lease-back opt-out window described in Section 10A is a separate operational process that allows you to prevent the automatic lease-back process from proceeding. It does not limit any mandatory consumer-law cancellation, withdrawal, refund, or remedy rights.

The 100-day Withdrawal Hold described in Section 13 is a separate operational payment-control period. It means Equipment-Rental Fees may accumulate but cannot be withdrawn during that period. It does not limit any mandatory consumer-law cancellation, withdrawal, refund, or remedy rights.

23. Taxes

You are solely responsible for understanding and complying with your tax obligations in your country of residence, citizenship, incorporation, or tax registration.

Equipment-Rental Fees may be taxable. The purchase of a Cell, receipt of Equipment-Rental Fees, End-of-Term Transfer, withdrawal, refund, or delivery may have tax consequences.

Sunbucks does not provide tax advice. You should consult a qualified tax adviser.

Sunbucks may request tax information, deduct withholding tax, issue statements, report information to tax authorities, or take other tax-related steps where required or reasonably considered necessary.

Any dashboard or annual statement is provided for convenience only and may not be sufficient for your tax filings.

24. Geographic Restrictions

Sunbucks may restrict access to the Platform, purchases, lease-back arrangements, withdrawals, or other services in certain countries or territories.

You are responsible for ensuring that your use of the Platform, purchase of a Cell, entry into a Lease-Back Agreement, and receipt of any Equipment-Rental Fee are lawful in your jurisdiction.

Sunbucks may block, suspend, cancel, or restrict your Account, purchase, withdrawal, or lease-back arrangement where we believe this is necessary for legal, regulatory, tax, sanctions, payment-processing, or operational reasons.

25. Identity, Compliance, Anti-Fraud, and Sanctions Checks

Sunbucks may require identity verification, address verification, age verification, business verification, beneficial-owner information, tax information, sanctions screening, fraud checks, payment checks, source-of-funds checks, or other due diligence before allowing use of the Platform, purchases, lease-back participation, withdrawals, refunds, or delivery.

You agree to provide accurate information and supporting documents when reasonably requested.

Sunbucks may suspend, restrict, or terminate access if you fail to provide required information, provide inaccurate information, appear on sanctions lists, or present unacceptable compliance risk.

26. User Accounts and Security

You must create an Account to use certain Platform features.

You agree to:

  1. provide accurate, complete, and current information;
  2. keep your login details secure;
  3. not share your Account with others;
  4. notify Sunbucks immediately of unauthorised access;
  5. use strong passwords and available security features;
  6. not attempt to bypass security controls;
  7. not use bots, scrapers, or automated tools without permission;
  8. not interfere with the Platform; and
  9. comply with all instructions reasonably issued by Sunbucks.

You are responsible for all activity under your Account unless caused by Sunbucks’ negligence or breach of law.

27. Acceptable Use

You must not use the Platform:

  1. unlawfully;
  2. fraudulently;
  3. to impersonate any person;
  4. to provide false information;
  5. to interfere with Platform security;
  6. to reverse engineer, scrape, crawl, or copy Platform content without permission;
  7. to upload malicious code;
  8. to harass, abuse, or threaten others;
  9. to breach intellectual-property rights;
  10. to evade sanctions, tax, consumer-protection, payment, or regulatory controls; or
  11. in any way that may damage Sunbucks, Host Schools, Customers, service providers, or the Platform.

28. Platform Availability and Dashboard Information

Sunbucks aims to keep the Platform available but does not guarantee uninterrupted access.

The Platform may be unavailable due to maintenance, updates, security incidents, technical issues, third-party failures, internet disruption, force majeure, or other reasons.

Dashboard information may be estimated, delayed, incomplete, corrected, or updated. If dashboard information conflicts with the legally binding purchase confirmation, Project Information, or Lease-Back Agreement, the legally binding documents will prevail.

Sunbucks may update, modify, suspend, or remove Platform features at any time, provided this does not unlawfully reduce your existing contractual rights.

29. Payments Through Third-Party Providers

Payments may be processed by third-party payment providers. By making or receiving payments, you may also be subject to the terms, privacy notices, fees, limits, and compliance checks of those providers.

Sunbucks is not responsible for delays, rejections, chargebacks, fees, exchange rates, account freezes, or compliance actions caused by third-party payment providers, except where required by law.

30. Currency and Exchange Rates

Prices, Equipment-Rental Fees, balances, and withdrawals may be displayed or processed in euros or another currency specified on the Platform.

Where currency conversion is required, exchange rates, fees, and timing may affect the amount received.

Sunbucks does not guarantee any particular exchange rate and is not responsible for losses caused by exchange-rate movements, bank fees, payment-provider fees, or correspondent-bank charges.

31. Refunds, Corrections, and Errors

Sunbucks may correct obvious errors in prices, Cell IDs, Project Information, Equipment-Rental Fee records, dashboard balances, or payment records.

If an incorrect payment is made to you, you agree to repay it or allow Sunbucks to deduct it from future payments, refunds, or balances.

If you believe there is an error, you must notify Sunbucks promptly at hello@sunbucks.com and provide relevant evidence.

32. Non-Transferability

Unless Sunbucks expressly permits otherwise in writing, Cells, Cell IDs, Accounts, Lease-Back Agreements, Equipment-Rental Fee rights, and Platform balances are personal to you and are not transferable, tradable, assignable, sellable, pledgeable, chargeable, or capable of being listed on any marketplace.

Sunbucks does not operate a secondary market.

Any attempted transfer without Sunbucks’ prior written consent is void or may be treated as void by Sunbucks.

Sunbucks may allow a transfer in exceptional circumstances, such as death, inheritance, corporate reorganisation, legal requirement, or administrative correction, subject to verification, documentation, fees, and applicable law.

33. Death, Incapacity, and Account Succession

If a Customer dies or becomes legally incapacitated, Sunbucks may require probate, court orders, identity documents, tax information, beneficiary details, or other evidence before recognising another person as entitled to deal with the Account or Cell.

Sunbucks may suspend payments until satisfactory documentation is received.

Any successor will take the Cell subject to these Terms, the Lease-Back Agreement, Site End Date, and End-of-Term Transfer obligation.

34. Corporate and Business Customers

If you use the Platform on behalf of a company, charity, school, trust, partnership, or other organisation, you represent that you are authorised to bind that organisation.

Sunbucks may require corporate documents, beneficial-owner information, tax forms, board approvals, signatory authority, and other due diligence before allowing a business or organisation to purchase Cells or receive payments.

35. CSR and Community Participation

Businesses, schools, charities, and other organisations may contact Sunbucks about corporate social responsibility, sponsorship, educational, or community solar programmes.

Any CSR, sponsorship, donation, reporting, or educational arrangement must be separately agreed in writing and may be subject to additional terms.

Unless expressly agreed, purchasing a Cell does not create any right to claim official sponsorship status, carbon credits, tax-deductible donation treatment, advertising rights, naming rights, or verified environmental certificates.

36. Intellectual Property

All content, design, software, logos, trademarks, graphics, text, databases, dashboards, documents, project descriptions, and other materials on the Platform are owned by or licensed to Sunbucks.

You may use the Platform only for your personal or internal business purposes in accordance with these Terms.

You must not copy, modify, reproduce, scrape, distribute, sell, lease, licence, create derivative works from, or exploit any Platform content without Sunbucks’ prior written consent.

37. Privacy and Data Protection

Sunbucks will process personal data in accordance with its Privacy Policy and applicable data-protection law.

We may process personal data for account creation, identity verification, compliance checks, payments, customer support, tax reporting, fraud prevention, platform security, marketing where permitted, and service administration.

You must ensure that any personal data you provide is accurate and that you have the right to provide it.

Where you act on behalf of another person or organisation, you must ensure that you have authority to provide their information.

38. Communications and Notices

Sunbucks may communicate with you by email, Platform notification, dashboard message, website notice, or other contact details you provide.

You must keep your contact details up to date.

Notices are deemed received when sent to your registered email address or posted to your Account, unless the law requires a different method.

39. Complaints

If you have a complaint, please contact Sunbucks at hello@sunbucks.com with:

  1. your name;
  2. your Account email;
  3. the relevant Cell ID or transaction;
  4. a description of the issue;
  5. supporting documents; and
  6. the outcome you are seeking.

Sunbucks will aim to acknowledge and investigate complaints within a reasonable time.

If you are a consumer, you may also have rights to use applicable consumer dispute resolution bodies or procedures available under Irish or EU law.

40. Suspension and Termination

Sunbucks may suspend or terminate your Account, restrict Platform access, or pause payments where:

  1. you breach these Terms;
  2. you provide false or incomplete information;
  3. Sunbucks suspects fraud, misuse, sanctions risk, money laundering, tax evasion, unauthorised transfer, or unlawful activity;
  4. required by law or a regulator;
  5. required by a bank, payment provider, insurer, Host School, or service provider;
  6. your Account presents security risk;
  7. continued access may expose Sunbucks or others to legal, regulatory, operational, or reputational risk; or
  8. the Platform or relevant service is discontinued.

Termination of Platform access does not automatically terminate completed purchases or existing Lease-Back Agreements unless stated in the relevant notice, required by law, or necessary due to breach.

41. Force Majeure

Sunbucks will not be liable for delay or failure to perform caused by events outside its reasonable control, including:

  1. natural disasters;
  2. extreme weather;
  3. fire;
  4. flood;
  5. war;
  6. terrorism;
  7. civil unrest;
  8. pandemic;
  9. strike;
  10. supply-chain disruption;
  11. grid failure;
  12. cyberattack;
  13. government action;
  14. regulatory change;
  15. school closure;
  16. landowner action;
  17. installer or contractor failure;
  18. banking or payment-system failure;
  19. sanctions;
  20. currency restrictions;
  21. insurance denial; or
  22. any other event beyond Sunbucks’ reasonable control.

Where a force majeure event materially affects a site, Sunbucks may take reasonable steps including suspension, repair, relocation, substitution, adjustment, cancellation, refund, or termination, subject to applicable law and the Project Information.

42. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or statutory consumer rights that cannot be excluded.

Subject to the above, Sunbucks will not be liable for:

  1. indirect or consequential loss;
  2. loss of profit;
  3. loss of business;
  4. loss of goodwill;
  5. loss of anticipated savings;
  6. loss of data;
  7. loss caused by third-party providers;
  8. loss caused by incorrect information provided by you;
  9. loss caused by force majeure;
  10. loss caused by delays in payment processing;
  11. loss caused by exchange rates or bank fees;
  12. loss caused by project underperformance, except where expressly assumed by Sunbucks in writing; or
  13. loss after the Site End Date or End-of-Term Transfer.

To the fullest extent permitted by law, Sunbucks’ total liability to you in connection with any Cell, Lease-Back Agreement, or Platform use will not exceed the amount you paid to Sunbucks for the relevant Cell or the amount paid by you to Sunbucks in the preceding 12 months, whichever is lower or higher as stated in the Project Information and permitted by law.

43. Indemnity

If you are a business Customer, you agree to indemnify Sunbucks against losses, claims, liabilities, costs, and expenses arising from your breach of these Terms, unlawful use of the Platform, false information, tax non-compliance, unauthorised transfer, infringement of third-party rights, or misuse of Sunbucks materials.

This indemnity does not apply to consumers to the extent prohibited by law.

44. Changes to These Terms

Sunbucks may update these Terms from time to time.

Updated Terms will be posted on the Platform with a new “Last updated” date.

Where changes materially affect existing purchases, lease-back arrangements, payment rights, End-of-Term Transfer, or consumer rights, Sunbucks will provide reasonable notice where required by law.

Changes will not retrospectively remove accrued contractual rights unless permitted by law, required by law, or accepted by you.

45. Assignment by Sunbucks

Sunbucks may assign, transfer, subcontract, or novate its rights and obligations under these Terms to an affiliate, successor, purchaser of business assets, project operator, or service provider, provided this does not materially reduce your consumer rights or existing contractual rights without lawful basis.

You may not assign your rights without Sunbucks’ prior written consent, except where required by law.

46. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect. The invalid provision will be replaced or interpreted as far as possible to achieve its intended commercial effect lawfully.

47. Entire Agreement

These Terms, the relevant Project Information, purchase confirmation, Lease-Back Agreement, Privacy Policy, and any other terms expressly incorporated by reference form the entire agreement between you and Sunbucks in relation to the Platform and your purchase of Cells.

You acknowledge that you have not relied on any statement, representation, promise, or assurance not set out in those documents, except where the law provides otherwise.

48. Governing Law

These Terms are governed by the laws of Ireland.

If you are a consumer resident in the European Union or another jurisdiction with mandatory consumer protections, you may also benefit from any mandatory rights that cannot be excluded under the laws of your place of residence.

49. Dispute Resolution and Jurisdiction

If a dispute arises, you agree to first contact Sunbucks at hello@sunbucks.com so that we can try to resolve the matter informally.

Subject to any mandatory consumer rights, the courts of Ireland will have jurisdiction over disputes arising out of or in connection with these Terms, the Platform, any Cell purchase, or any Lease-Back Agreement.

Consumers may have rights to bring claims in their local courts or to use applicable consumer redress mechanisms where required by law.

51. Acceptance

By using the Platform, creating an Account, purchasing a Cell, entering into a Lease-Back Agreement, or requesting payment of Equipment-Rental Fees, you confirm that you have read, understood, and agree to these Terms.

You also confirm that you understand the core model:

  1. you purchase a specific identified solar cell;
  2. you may lease it back to Sunbucks for a fixed term;
  3. Sunbucks pays an equipment-rental fee while the cell is leased;
  4. the lease ends on the fixed Site End Date;
  5. the cell transfers to the Host School or approved recipient at the end of the term; and
  6. no further ownership or payment rights remain after that transfer.
